General Terms and Conditions

Fluid Kotthoff is a brand of Stüwe GmbH und Co.KG. The following General Terms and Conditions apply to all business relationships between Stüwe GmbH und Co.KG and its customers within the framework of the Fluid Kotthoff brand.

1. General

These General Terms and Conditions (GTC) apply to all business relationships between Stüwe GmbH und Co.KG (hereinafter referred to as 'Stüwe') and its customers. Deviating, conflicting or supplementary general terms and conditions shall not become part of the contract, even if known, unless their validity is expressly agreed to in writing.

2. Offers and Conclusion of Contract

Our offers are subject to change and non-binding. We can accept orders or commissions within 14 days of receipt. Technical changes as well as changes in form, color and/or weight remain reserved within reasonable limits.

3. Prices and Payment Terms

Unless otherwise agreed, our prices apply ex works excluding packaging plus the applicable statutory value added tax. Unless otherwise agreed, payment must be made within 30 days of the invoice date without deduction.

4. Delivery and Delivery Time

Delivery dates or deadlines that have not been expressly agreed as binding are exclusively non-binding information. The delivery time specified by us only begins when the technical issues have been clarified. Likewise, the customer must properly and timely fulfill all obligations incumbent upon them.

5. Warranty

The customer's warranty rights presuppose that they have properly fulfilled their inspection and complaint obligations owed under § 377 HGB (German Commercial Code). In the event of defects in the goods, we provide warranty at our discretion through repair or replacement delivery.

6. Liability

Claims for damages by the customer are excluded. Excepted from this are claims for damages by the customer arising from injury to life, body, health or from the breach of essential contractual obligations as well as liability for other damages based on an intentional or grossly negligent breach of duty on our part, our legal representatives or vicarious agents.

7. Retention of Title

The goods remain our property until full payment has been made. In the event of breach of contract by the customer, particularly in case of default of payment, we are entitled to take back the purchased goods.

8. Final Provisions

The law of the Federal Republic of Germany applies. The provisions of the UN Sales Convention do not apply. The place of jurisdiction is our place of business in Hattingen, provided the customer is a merchant. However, we are entitled to sue the customer at their place of residence.
